Welcome to Audilynx ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our audit confirmation platform, website, and related services (collectively, the "Service").

1. Acceptance of Terms

By registering for, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Account Registration and Security

2.1 Account Creation

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your information to keep it accurate
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

2.2 Age Requirement

You must be at least 18 years old to use the Service. By using Audilynx, you represent and warrant that you meet this age requirement.

2.3 Email Verification

You must verify your email address to activate your account. We reserve the right to suspend unverified accounts until verification is complete.

3. Description of Services

3.1 Core Services

Audilynx provides audit confirmation management services including:

• Creating and managing audit engagements
• Sending electronic confirmation requests to clients and third parties
• Tracking confirmation responses in real-time
• Generating audit confirmation reports
• Managing client contact information
• Customizing email templates for confirmations
• Team collaboration features

3.2 Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

4. Payments and Subscriptions

4.1 Free Trial

New accounts receive a 30-day free trial with full access to all features. No credit card is required during the trial period.

4.2 Subscription Plans

After the trial period, continued use of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected.

4.3 Payment Processing

Payments are processed securely through our third-party payment processors (Paystack, Flutterwave). We do not store your full payment information on our servers.

4.4 Refund Policy

We offer a 14-day money-back guarantee for first-time customers. Refund requests must be submitted within 14 days of the first payment. After 14 days, fees are non-refundable.

4.5 Price Changes

We may change our subscription fees upon 30 days' notice. Price changes will not affect your current billing period.

4.6 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time.

5. Acceptable Use Policy

5.1 Prohibited Activities

You may not use the Service for:

• Any unlawful purpose or in violation of any applicable laws
• Sending spam, fraudulent, or misleading communications
• Impersonating any person or entity
• Attempting to gain unauthorized access to the Service or other user accounts
• Interfering with or disrupting the Service or servers
• Uploading malicious code, viruses, or harmful content
• Scraping or harvesting data without authorization
• Using the Service for competitive analysis or to build competing products

5.2 Data Accuracy

You are responsible for the accuracy of all data you upload to Audilynx. You represent that you have obtained all necessary consents to process any personal data uploaded to the platform.

5.3 Compliance with Audit Standards

You agree to use Audilynx in compliance with applicable professional auditing standards, including but not limited to:

• International Standards on Auditing (ISA)
• Generally Accepted Auditing Standards (GAAS)
• Local regulatory requirements in your jurisdiction

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including its code, design, features, and functionality, is owned by Audilynx and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain all ownership rights to the data, documents, and information you upload to Audilynx ("Your Content"). By uploading content, you grant us a limited license to host, process, and transmit Your Content solely to provide the Service to you.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, royalty-free license to use such feedback without any obligation to you.

7. Data Privacy and Security

7.1 Data Processing

We process personal data as described in our Privacy Policy. By using the Service, you consent to such processing.

7.2 Data Security

We implement industry-standard security measures to protect your data. However, no security system is impenetrable, and we cannot guarantee absolute security.

7.3 Data Portability and Deletion

You may export your data at any time. Upon account termination, we will provide you with a 30-day window to export your data before permanent deletion.

8. Limitations of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Audilynx BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

8.3 Maximum Liability

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Audilynx, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit to the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Your data will be retained for 30 days after termination.

10.2 Termination by Us

We may suspend or terminate your account immediately without notice if you violate these Terms. We may also terminate free accounts that remain inactive for 6 months.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. You must pay any outstanding fees before termination.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved in the courts of Lagos, Nigeria.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve any dispute informally.

13.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria.

14. Miscellaneous Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and Audilynx regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.

14.3 No Waiver

Our failure to enforce any right or provision does not waive our right to enforce it later.

14.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.
